GENERAL TERMS OF SERVICE

These General Terms of Service apply alongside the Synchronest Client Agreement. By entering into the Client Agreement, the client also agrees to the terms outlined below. For any questions, please contact us at success@synchronest.com.

 

CLIENT RESPONSIBILITIES

​

Client agrees to provide timely access to all platforms, accounts, and information reasonably required to deliver services, including but not limited to Airbnb (via co-host access), PMS, and or existing pricing tools. Client agrees to participate in the partnership in good faith, including reasonable communication. Delays, restricted access, or failure to implement agreed-upon strategies may impact outcomes and do not, on their own, constitute grounds for dissatisfaction claims.

NO PERFORMANCE GUARANTEE

Synchronest does not guarantee specific revenue, occupancy, or financial outcomes. Performance is influenced by factors beyond Synchronest’s control, including market conditions and client implementation decisions.

DATA AND SECURITY

​

Synchronest is committed to protecting client data and will access relevant platforms solely for the purpose of delivering consulting services. This commitment to secure data handling is provided in conjunction with the terms of the Client Agreement.

GOOD-FAITH TERMINATION

​

Client may request early termination of this Agreement without penalty in the event of a qualifying good-faith circumstance, including but not limited to:

​

• Sale or transfer of ownership of the property

• Loss of legal authority to operate the property as a short-term rental

• Conversion to long-term rental due to regulatory, HOA, or legal restrictions

• Material unforeseen hardship, including serious medical events or death of an owner or principal

Client must provide reasonable written notice and supporting documentation demonstrating the qualifying circumstance. Approval of early termination under this provision is subject to Synchronest’s reasonable review and confirmation.

CANCELLATION AND TERMINATION

​

All cancellation and termination rights, notice requirements, and obligations are governed by the applicable Client Agreement executed between the Client and Synchronest.Upon termination or expiration of services for any reason, pricing control will revert to the Client, including base pricing. All proprietary systems, methodologies, and configurations developed by Synchronest; including but not limited to custom seasonal profiles, occupancy-based pricing models, and related tools will be removed and are non-transferable. Following termination, the Client assumes full responsibility for all ongoing revenue management.

INDEMNIFICATION AND LIMITATION OF LIABILITY

The client agrees to indemnify, defend, and hold harmless Synchronest and its affiliates from any losses, damages, or expenses arising from third-party claims or breaches of these terms. Synchronest shall not be liable for any indirect, special, incidental, or consequential damages, including loss of profits or business interruption. Synchronest’s services are advisory in nature, and the client assumes responsibility for performance and outcomes based on recommendations provided. These terms work in conjunction with the Client Agreement and shall survive its termination or expiration.

UPDATES TO TERMS

​

Synchronest reserves the right to update these General Terms of Service at any time. Updates will be effective upon posting to our website and will not modify the Client Agreement without explicit notice.
