General Terms of Service

These General Terms of Service apply alongside the Synchronest Client Agreement. By entering into the Client Agreement, the client also agrees to the terms outlined below. For any questions, please contact us at success@synchronest.com.

 

1. Account Access and Software Management

The client authorizes Synchronest to access their software accounts solely for the purpose of providing consulting services. Passwords will be securely stored, and Synchronest will act as a consultant in setting up and optimizing these accounts. The client remains the rightful owner of the software and assumes billing responsibility, which is subject to the terms and conditions of the respective software providers. These provisions are supplemental to the Client Agreement.

 

2. Transfer of Ownership

Upon completion of consulting services and full payment of all dues, Synchronest will transfer and assign to the client all rights, title, and interest in the intellectual property and software optimizations made during the engagement. This aligns with the deliverables outlined in the Client Agreement.

3. Data and Security

Synchronest is committed to protecting client data and will access relevant platforms solely for the purpose of delivering consulting services. This commitment to secure data handling is provided in conjunction with the terms of the Client Agreement.

4. Authorization for Automatic Payment Processing

By entering into the Client Agreement, the client authorizes Synchronest to automatically process payments for services rendered using the payment method on file. These automatic payments will be conducted in accordance with the terms of both the Client Agreement and this document.

5. Indemnification and Limitation of Liability

The client agrees to indemnify, defend, and hold harmless Synchronest and its affiliates from any losses, damages, or expenses arising from third-party claims or breaches of these terms. Synchronest shall not be liable for any indirect, special, incidental, or consequential damages, including loss of profits or business interruption. Synchronest’s services are advisory in nature, and the client assumes responsibility for performance and outcomes based on recommendations provided. These terms work in conjunction with the Client Agreement and shall survive its termination or expiration.

6. Updates to Terms

Synchronest reserves the right to update these General Terms of Service at any time. Updates will be effective upon posting to our website and will not modify the Client Agreement without explicit notice.
